Free Speech Coalition Board of Directors Position Purpose and Objective
The Board of Directors act as the fiduciaries who provide the strategic direction and steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as ensuring that the organization has adequate resources to advance our mission of protecting the rights and freedoms of the adult industry.
Primary Roles and Responsibilities
Establish and guide the organizational vision, mission, and strategic areas of focus.
Identify, review, and prioritize current and anticipated internal and external strategic issues; provide direction to other volunteer leadership groups that are assigned to work on such issues; and hold such groups accountable for their work.
Oversee and evaluate the organization's progress in meeting strategic goals and operational objectives.
Ensure the continuity of the organization by participating in the onboarding and development of incoming members of the Board of Directors.
Review and approve the annual budget; evaluate progress toward financial goals; approve the annual audit; and ensure proper management of assets and resources.
Participate in annual evaluation of individual and whole-Board performance.
Encourage accountability for volunteer efforts to support our mission and success.
Provide active support to business development initiatives, including membership recruitment and retention, and other revenue-generating activities.
Required Expertise and Criteria for Board Directors
Must be a dues-paying member of the association in good standing.
Must be able to provide leadership on a broad range of issues impacting the adult industry.
Must be prepared to act in the best interests of the membership.
Must be willing to actively participate in Board discussions and activities in a candid and open manner, with the goal of operating in good faith for the benefit of the membership.
Preference is given to members that have past volunteer experience and have demonstrated strong leadership.
Estimated time commitment and meeting format
The board generally meets once per quarter. Usually, meetings are held virtually, with the exception of an annual in-person retreat. Meetings are occasionally rescheduled to accommodate large industry events, such as trade shows.
Virtual committee meetings and project work on an as-needed basis.
Rough estimate of time - expect eight to ten hours monthly, not evenly spaced.

Selection Process
Directors are elected by the membership bi-annually (see below). The Board of Directors may fill vacant Board positions between elections from candidates proposed by the Nomination Committee, in partnership with the Executive Director, as part of their ongoing process to develop potential leaders and ensure Board governance.
Term Limits
Directors are appointed or elected to a two-year term. Terms are staggered to ensure sufficient continuity, with approximately half of the Board up for re-election by the membership every year.
Compensation and Expenses
Board Directors are volunteers. They do not receive compensation for their service.
Expenses such as travel to meetings are paid by the Director or their company, not the organization.
